👩💻🧑💻 As a M&A, Capital Market and Governance Manager, you will:
• Assist with M&A transactions: Assist teams on both corporate and tax matters related to M&A transactions (including cross-border transactions), in collaboration with advisors, lawyers and the Strategy & Finance teams;
• Assist on strategic corporate law transactions: Assist teams on strategic corporate law transactions such as restructurings, equity transactions, fundraisings, in collaboration with local teams (lawyers, advisors, Finance team);
• Assist with the implementation of internal governance rules: Assist on implementing and revamping Qonto’s corporate governance practices to comply with standards of a mature and IPO ready company such as decision-making processes, governing bodies, etc.;
• Ensure the company corporate secretary: Record keeping, preparing board meeting decks, drafting of minutes of the board and shareholders meetings;
• Support operational teams on corporate projects: Assist teams by providing support and expertise on various corporate projects such as post-acquisition integration projects, customer migration projects, employee equity, etc;
• Coordinate legal support: Manage and coordinate external legal support (such as our attorneys and advisors) as well as internal inputs from stakeholders and other functional teams;
• Support Qonto in the context of group reorganisation and tax structuring in collaboration with the Finance team;
• More generally, assist the team with day-to-day corporate and business law matters.

🤝 About your future manager
• Her path?
Before Qonto, Maya spent several years working for international and French law firms based in Paris, and mostly specialised in Corporate, M&A and Private Equity matters. She grew up in France from a multicultural background and studied French and Common law at Nanterre Université (Paris) and Duke University (Durham, USA).
Now, Maya is focusing on leading strategic Legal projects at Qonto, the latest being the recent Penta acquisition.

🏅About You
• Experience: You have at least 4 years experience in corporate law and/or M&A department of a private practice law firm and in-house with an international company. Experience in another fintech or tech company or listed company is a big plus.
• Solution-oriented: You are able to apply your legal expertise very practically to Qonto’s business and always provide recommendations that are business-oriented.
• Communication: You have strong oral and written communication skills and have successful experience reporting to management board and board of directions.
• Analytical mind & rigorous: You have excellent organization and planning skills, with the ability to handle multiple projects simultaneously. You are able to deliver consistently rigorous and well-reasoned, practical solutions to business problems.
• Curious mindset: You are intellectually curious, open-minded, adaptable, a fast learner, and are excited by a dynamic and fast pace environment. You are happy with working in constantly evolving and unsettled technological and legal landscape. You want to have an impact and contribute actively to the payment solution energizing SMEs and entrepreneurs across Europe.
• Mastery: You will need to master corporate and transactional legal issues, and report to internal stakeholders. You are constantly searching for improvement.
• Languages: You are fluent in both French and English. Speaking Spanish, German or Italian is a plus.
